This User-Generated Content Release Agreement (“Agreement”) is issued by Restore MyoHealth LLC DBA Restore MyoHealth Myofunctional Therapy (“Company,” “we,” “us,” or “our”) and governs the submission, tagging, publication, and commercial use of any content voluntarily provided by customers, clients, or users (each, a “Contributor” or “you”) through the website located at restoremyohealth.com, our official social media channels, email submissions, or related platforms (collectively, the “Platforms”).
By submitting, tagging, uploading, or authorizing any form of content in connection with the Company, you affirm that you have read, understood, and agreed to the terms of this legally binding Agreement.
I. DEFINITION OF USER-GENERATED CONTENT (UGC)
For purposes of this Agreement, “User-Generated Content” or “UGC” includes but is not limited to:
- Written reviews, feedback, or testimonials
- Tagged images, reels, videos, or comments on Instagram, Facebook, TikTok, Pinterest, LinkedIn, YouTube, or other social platforms
- Emails, DMs, stories, or form submissions that include media, quotes, or endorsements
- Audio, video, screenshots, or chat transcripts submitted voluntarily or through promotional campaigns
II. GRANT OF LICENSE & RIGHTS TO USE
2.1 Irrevocable License.
By submitting or tagging any UGC related to our business, you hereby grant the Company an irrevocable, perpetual, worldwide, royalty-free, fully transferable, and non-exclusive license to use, edit, publish, display, distribute, reproduce, and create derivative works from such content in any format or medium now known or later developed.
2.2 Permitted Uses Include, But Are Not Limited To:
- Social media posts, stories, highlights, and paid advertisements
- Website testimonials, product pages, or digital downloads
- Email marketing campaigns, newsletters, and launches
- Course platforms, webinars, sales pages, or coaching funnels
- Printed brochures, promotional graphics, or press kits
2.3 No Compensation Due.
You waive all rights to royalties, commissions, or monetary payment in connection with the present or future use of your submitted content unless otherwise agreed in writing via a separate contract.
III. REPRESENTATIONS AND WARRANTIES
You represent and warrant that:
- You are at least 18 years of age or have legal parental/guardian consent
- You are the sole legal and beneficial owner of the content and all underlying rights
- The UGC is original, accurate, and does not infringe on any third-party copyright, trademark, privacy, or publicity rights
- You have obtained all necessary releases, consents, and permissions for any third parties appearing in the content (including minors, if applicable)
- Your submission does not violate any law, contain obscene material, or promote illegal activity
IV. RIGHT TO MODIFY, EDIT, OR REMOVE
4.1 Editorial Discretion.
The Company reserves the right to:
- Edit, crop, caption, enhance, or translate your UGC for clarity, format, or promotional purposes
- Attribute your name, handle, business name, or remain anonymous based on context
- Remove UGC from its platforms at any time for any reason, without notice or obligation
V. RELEASE OF LIABILITY & WAIVER OF CLAIMS
5.1 Full Release.
You hereby fully release and discharge the Company, its officers, employees, contractors, and affiliates from any and all claims, demands, liabilities, or legal actions relating to:
- The use, alteration, or display of your UGC
- Perceived reputational harm, misattribution, or misrepresentation
- Any future disputes over ownership, compensation, or licensing
This release shall be binding upon your heirs, successors, assigns, and legal representatives.
VI. REVOCATION OF CONSENT
6.1 Withdrawal Process.
If you wish to revoke the rights granted under this Agreement, you must submit a formal written request to [email protected] including:
- Your full name and contact information
- A direct link or screenshot of the content in question
- A clear description of the UGC and the platform it appeared on
Upon receipt, the Company will make reasonable efforts to remove or cease further use of the UGC within 10–15 business days, unless such removal would impose undue burden or violate legitimate reliance on prior license.
VII. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Missouri. Any disputes shall be resolved through binding arbitration, with venue located in Clay County/Kansas City, MO, pursuant to the rules of the American Arbitration Association. No class action proceedings are permitted.
